Vietstock - Vietcombank (HM:VCB) tổ chức ĐHĐCĐ bất thường bổ sung thành viên HĐQT, kéo dài phương án tăng vốn

Ngân hàng TMCP Ngoại Thương Việt Nam (Vietcombank, HOSE: VCB) vừa công bố tài liệu họp ĐHĐCĐ bất thường, dự kiến tổ chức ngày 30/01/2023.

HĐQT dự kiến bầu bổ sung 1 thành viên HĐQT vào thời gian còn lại của nhiệm kỳ 2018-2023. Ứng viên bầu bổ sung là ông Nguyễn Thanh Tùng - Phó Tổng Giám đốc phụ trách Ban Điều hành Vietcombank.

Ông Tùng đã công tác tại Vietcombank từ năm 1997 đến nay và trải qua các vị trí Phó Chánh Văn phòng kiêm Thư ký HĐQT, Chánh Văn phòng Vietcombank, Phó Giám đốc Chi nhánh Sở giao dịch, Giám đốc Khối, Phó Tổng Giám đốc…

Đồng thời, Vietcombank cũng dự kiến trình kéo dài thời gian thực hiện phương án tăng vốn điều lệ năm 2021 và phương án tăng vốn điều lệ trong năm 2023.

Trong tài liệu, chưa có thông tin cụ thể phương án tăng vốn điều lệ năm 2023 nhưng ĐHDCĐ 2021 của Vietcombank đã thông qua phương án tăng vốn điều lệ theo 2 cấu phần.

Phần 1, phát hành cổ phiếu tăng vốn cổ phần để chi trả cổ tức từ nguồn lợi nhuận còn lại năm 2019 sau khi chia cổ tức bằng tiền mặt.

Với mệnh giá 10,000 đồng/cp, số lượng cổ phiếu dự kiến phát hành thêm là hơn 1 tỷ cp, nâng vốn điều lệ từ 37,089 tỷ đồng lên 47,325 tỷ đồng.

Phần 2, được thực hiện sau khi hoàn thành phần 1, Ngân hàng tiếp tục tăng vốn thông qua phát hành cổ phiếu riêng lẻ với quy mô tương đương 6.5% vốn điều lệ của Vietcombank tại thời điểm chào bán; tương ứng 307.6 triệu cp. Đối tượng mua có thể là đối tác chiến lược Mizuho Nhật Bản nếu ngân hàng này muốn tiếp tục duy trì tỷ lệ sở hữu 15% vốn điều lệ và/hoặc các nhà đầu tư khác.

Mức vốn điều lệ dự kiến trước khi chào bán là 47,325 đồng và sẽ đưa mức vốn điều lệ sau 2 phần lên 50,401 tỷ đồng.

Theo BCTC hợp nhất quý 3/2022, vốn điều lệ của Vietcombank là 47,325 tỷ đồng. Nếu Vietcombank kéo dài thời gian thực hiện phương án tăng vốn điều lệ năm 2021, mức vốn điều lệ của nhà băng này sẽ được đưa lên thứ 3 hệ thống.
